Brand Code of Conduct

By creating a Brand Account on Adcrush.app (“the Platform”) or engaging any Creator through our marketplace, you agree to be bound by these Terms of Service. These terms govern the relationship between your Brand and Adcrush.

1. THE ADCRUSH SERVICE

Adcrush provides a software-as-a-service (SaaS) platform designed to connect brands with creators for high-performance ad creative. Your membership provides access to our creator pool, campaign management dashboard, and proprietary Meta Ads Suite performance integration.

2. CAMPAIGNS & BRIEFS

  • Accurate Briefing: You are responsible for providing clear instructions, brand guidelines, and specific objectives.
  • Product Fulfillment: If a physical product is required for content creation, you agree to ship the product to the Creator at your own expense in a timely manner.
  • Selection: You have the right to approve or reject submissions based on the quality and alignment with your brief.

3. MANDATORY TESTING & TRAFFICKING PROTOCOL

To ensure platform integrity and a fair “Equal Chance” environment for Creators, the Brand agrees to the following:

  • 3.1 Baseline Discovery Period: For every Content deliverable approved and “accepted” by the Brand, the Brand is contractually obligated to deploy said content through the Adcrush Trafficking Standards.
  • 3.2 Minimum Spend/Time: Every approved ad must be active for a mandatory “Discovery Period” (as defined in the Campaign Dashboard) with a minimum daily spend. You may not deem an ad “non-viable” until it has passed this threshold.
  • 3.3 Algorithmic Learning: You agree not to “throttle” or pause approved ads prematurely. This allows the Meta algorithm to complete its learning phase, ensuring creators on Performance-Based models have a fair opportunity to generate revenue.
  • 3.4 Audit Rights: Adcrush uses its Meta Ads Suite integration to monitor compliance. Failure to provide an approved ad with its baseline testing period is a breach of these terms.

4. PAYMENTS & COMPENSATION

  • Subscription Fees: Your monthly membership fee grants access to the platform tools and is non-refundable.
  • Flat Bounty: Payments for fixed-fee ads are due immediately upon content approval.
  • Performance-Based Payouts: These are calculated via the Adcrush Dashboard using Meta Suite data. You agree to maintain an active payment method on file to cover performance rewards as they accrue.
  • Non-Circumvention: You agree not to solicit or pay Adcrush creators outside of the platform. Any attempt to “bypass” the platform to avoid service fees or performance tracking will result in account termination and a $5,000 penalty fee per occurrence.

5. INTELLECTUAL PROPERTY & USAGE

  • Ownership: Upon full payment of the Flat Bounty or the commencement of Performance-Based payments, the Creator grants you an irrevocable, worldwide, perpetual license to use the content for advertising purposes.
  • Modifications: You have the right to edit, crop, or overlay text on the content to fit various ad formats (e.g., 9:16 for Reels vs. 4:5 for Feed).

6. BRAND SAFETY & COMPLIANCE

  • Legal Responsibility: You are the “Advertiser” of record. You are solely responsible for ensuring that all claims made in the ads (and the products themselves) comply with FTC, FDA, and all other applicable regional laws.
  • Indemnification: You agree to indemnify and hold Adcrush and its Creators harmless from any claims, damages, or legal fees arising from the content of your advertisements or your products.

7. META SUITE INTEGRATION

The Platform’s efficacy relies on the connection to your Meta Ads Manager. You agree to maintain this connection for the duration of any active Performance-Based campaigns. If a connection is severed, Adcrush reserves the right to estimate performance payouts based on historical data or convert the campaign to a Flat Bounty model.

8. TERMINATION

  • By Brand: You may cancel your subscription at any time via the dashboard. Access will continue until the end of your current billing cycle.
  • By Adcrush: We may terminate your access immediately for violations of the Brand Code of Conduct or for failure to adhere to the Mandatory Testing Protocol.

9. GOVERNING LAW

These Terms are governed by the laws of the State of California. Any disputes arising from these Terms shall be resolved in the state or federal courts located in California.

By joining the Adcrush waitlist or activating your Brand Dashboard, you acknowledge that you have read and agreed to these Terms of Service.
